Private equity

Our fast-growing private equity practice acts for funds, family offices and their portfolio companies, predominantly on cross-border transactions in the US, Asia and Europe.

We advise both those seeking to invest and those seeking investment. Often helping to bring the two sides together.

That is exactly what happened when we connected a mining company looking to expand with an investor with deep knowledge of the industry. ‘We not only helped with the investment part of it on behalf of the investor, but on the other side we managed all of the reporting, recapitalization, restructuring, equity compensation and other issues for the subject company,’ says Ridgway Barker, a US partner focusing on corporate finance and securities law.

Our work with creative individuals like Christopher Kane and JW Anderson during acquisitions by larger luxury brands is an example of how our technical excellence combines with our sector-specific knowledge to keep unique, dynamic clients happy and financially well-protected.

In the sale of Waterford Wedgwood and Royal Doulton to NY-based private equity firm KPS Capital Partners, Withers helped to structure a complex deal, involving assets in the US, Ireland, England, Japan, Indonesia, Hong Kong, Taiwan, Singapore, Australia and Canada.

How the team can help

Track record

Two food entrepreneurs

We used our experience of working with entrepreneurs to help the founders of a food business providing goods to UK high-street retailers as they sold their company. Our lawyers assisted with the commercial aspects of the sale to a private equity firm, handling complex UK remittance tax issues and US tax issues. We were also involved in our clients’ reinvestment in a new holding company.

Jennifer Moores

We advised Jennifer Moores, an ultra-high net worth individual, in her investment in Harry’s of London, a luxury shoemaker and accessories house known for combining traditional craftsmanship with the latest footwear technology.

Roger De Haan

We advised Roger De Haan and his family office in relation to his charitable trust including charity and tax advice on the proposed building of the world's first multi-storey skate-park and education advice to academies sponsored by the trust. We also advise other charities connected with Roger De Haan, including the Creative Foundation, which aims to improve the town of Folkestone with the development of a creative quarter.

A family office client

We advised a family office client in purchasing the interests of a venture capital fund with which it was a co-investor in a collective investment vehicle that owns an interest in a UK-based portfolio company in the film industry.

AAM Advisory

We advised founding members and current shareholders on the sale of AAM Advisory to Old Mutual Wealth. AAM is the largest expatriate advisory firm in Singapore with over 30 advisers and 3,500 clients offering financial planning and fund management advice.

Former chairman of consumer brands company

We advised the former chairman of a publicly-traded consumer brands company in the formation of a new family office and associated investment vehicles company. Primary goals were to implement desired governance and create a structure that maximized deductibility of investment expenses and equity participation by family members/employees.

A family office client

We advised an existing family office client in the negotiation of its participation in an investment syndicate led by two private equity firms to acquire cellular telephone spectrum and establish a cellular telephone carrier in Canada. The family office wished to 'syndicate' its investment within the syndicate, which required the simultaneous establishment of an affiliated registered investment adviser and the formation of an investment partnership.

Equity investments in a Serbian bank

We advised a multilateral agency on their equity investments in a Serbian bank, and a shareholders agreement with the Republic of Serbia including on a privatisation programme.
