Overview

Ben advises on private equity, mergers and acquisitions, joint ventures, capital markets (AIM and main market) and on company law issues. Ben has a particular interest in luxury brands and has acted on some of the most high profile recent deals in the sector, most recently on the investment by Kering in a 51% stake in Christopher Kane and on the investment by a Middle Eastern investor in a minority stake in Anya Hindmarch.

Ben has acted on M&A transactions with values of up to US$1billion including advising on the acquisition by Italian listed digital services company Reply of Solidsoft and an investment in AIM listed gold producer Serabi Gold.

In addition, Ben has worked on over 50 floats and capital raisings on the main market and AIM, most notably the AIM IPO of Romanian property developer Globalworth Real Estate Investments.

  • negotiating a relationship agreement for a FTSE listed company on behalf of its major shareholders
  • the sale of £20milion of co-investments in a substantial UK private equity fund to a Spanish fund of funds
  • Jennifer Moores follow up investment in Harry's of London alongside Palladin Consumer Retail Partners
  • the private equity investment into Charlotte Tilbury's eponymous brand
  • the sale of the Nzema project, a 155 megawatt solar energy project in Ghana, to Blue Energy, a UK based renewable energy investment company
  • the sale of QPR football club by the majority shareholders to Tony Fernandes's Tune Group
  • the partial offer by OJSC Polyus Gold for main market listed KazakhGold Group
  • the acquisition by Blue Gem of Liberty
  • the acquisition by a US client, DeAngelo Brothers, of a UK roadmarking business owned by Ennis Prismo
  • the original joint venture with Siemens for the exploitation of missile guidance technology to develop the Hawk-Eye ball tracking technology now used in tennis and football.
