Acquisition Finance

We have been closely involved in many types of acquisitions, corporate financings and restructurings, including both buy-outs and buy-ins. We also advise on working capital facilities and leveraged recapitalizations.

We aim to provide clients with pragmatic advice and technical excellence, informed by a thorough understanding of the complexities and dynamics of the marketplace and the evolving expectations of acquirers and investors. Our approach is a collaborative one, and we work closely with colleagues in our corporate finance team to achieve strong results for our clients, as efficiently as possible.

We advise banks and other financiers, both senior and mezzanine, as well as borrowers, purchasers, management teams and institutional investors, on the most effective ways to finance the acquisition of companies and other assets.

Recent work

  • Advising a syndicate of banks in connection with the €225 million financing for the construction of part of a motorway linking Zagreb to Gorican in Croatia.
  • Working with San Paolo IMI on a $25 million syndicated loan facility to acquire a wood factory in Romania.
  • Advising on a €242 million syndicated loan for Targetti Sankey S.p.A. in order to assist in the acquisition of the Danish lighting company Louis Poulsen Lighting A/S.
  • Advising State Bank of India an a US$150 million facility for Oil and Natural Gas Corporation of India.
  • Advising Sir Rocco Forte & Family plc on banking facilities of £51 million, US$39 million and €68 million and Sir Rocco Forte & Family (Luxury Hotels) Limited on banking facilities of £73 million, €31 million and Swiss Francs 31.5 million.
  • Assisting State Bank of India with various UK acquisitions.
  • Advising US entity in financing of an acquisition of multiple resort properties around the world.
  • Advising North Fork Bank on financing of acquisition of construction sector business.
  • Acting for State Bank of India in relation to a trust receipt facility for the purchase of stock for a company based in the United Kingdom.
  • Reviewing all trade finance documentation for a Turkish bank.
