The Withers AIM team has been actively involved in the AIM market since its inception with Withers acting on the first biotech IPO on AIM of PolyMasc Pharmaceuticals plc. Since then the team has acted on numerous IPOs and capital raisings, most recently the IPO of Globalworth, a Romanian property development group, with Withers acting for Panmure Gordon and Cantor Fitzgerald on that IPO. In addition to acting on IPOs, the Withers’ team advises AIM clients and Nomads on AIM rules compliance and transactions including takeovers, capital raisings and other corporate actions such as buybacks and related regulatory issues under the City Code and Takeovers and other applicable laws and regulations.

Withers has co-chaired seminars with the London Stock Exchange in Italy, Spain, Switzerland, Greece, the US and the Russian Federation.

Recent work

  • Acting for Panmure Gordon and Cantor Fitzgerald as regards the AIM IPO of Globalwoth, the Romanian real estate development company.
  • Acting for Fratelli Investments on two debt and equity investments in AIM listed gold producer Serabi Gold plc, both requiring Rule 9 whitewashes (under the City Code on Takeovers and Mergers).
  • Acting for Hightex Group plc on AIM placings and more recently on a US$10m loan facility and share placing relating to finance provided by TCA.
  • Acting for activist investors looking to influence the corporate governance of an AIM listed oil producer with particular regard being given to the relationship agreement to which the key investors were a party and concert party issues.
