Corporate tax planning

Our tax team is able to advise on the full range of UK domestic corporation tax planning issues. We assist clients in the structuring of mergers and acquisition transactions, and in the acquisition and disposal of businesses as going concerns. Guidance is also available on the application of rollover and other reliefs, and in the reviewing of tax warranties and indemnities.

Other aspects of our work include pre-IPO tax planning, especially in relation to proposed AIM and main market listings; advice on banking and finance transactions, with a focus on structured products offered by banks to enable their customers to mitigate tax; assistance on the utilization of trading losses; and help for companies reviewing their employee incentive arrangements, including advice on schemes to save national insurance, using limited liability partnerships and employee benefit trusts.

  • Advising a main market listed company on the remuneration structure for its UK and non-UK resident directors and employees worldwide. 
  • Working with a major bank on the tax aspects of proposed structured products. 
  • Helping a foreign bank to establish whether its UK operations should take the form of a representative office, branch or subsidiary. 
  • Advising a main market listed CIS financial institution on its employee incentive arrangements.
