Directors: corporate governance & severance

The firm frequently represents the directors of listed and privately-held companies, and it is a core part of our employment team's practice.

We work with clients on the negotiation and drafting of service agreements and custom incentive plans, as well as negotiating exit and severance packages. With an in-depth knowledge of securities laws, listing rules, corporate governance and best practice, we tailor appropriate solutions to each client's circumstances.

Our cases are often high profile, attracting media interest and coverage, and our experienced reputation management team enables us to work with clients to avoid unwelcome media coverage.

Our clients come from a diverse range of sectors, including financial services, media, recruitment, pharmaceuticals, law and business services. They include directors from numerous private companies as well as, in the UK, board directors from FTSE and NASDAQ companies. Most are based in the UK or US, although we often advise clients working in Europe and elsewhere.

Recent work

  • Advising on issues relating to claims involving directors' shareholdings.
  • Litigating over bonuses.
  • Advising clients on a wide range of short-, medium- and long-term incentives, ranging from share options to phantom and restricted stock.
  • Preventing the filing of false statements in a form U-5 that would have unfairly impugned the business reputation of a well-known Managing Partner of an international investment firm within the financial services industry.
