We have represented emerging companies from the start-up phase through going-public transactions, both in the form of traditional IPOs and reverse mergers into public shells.

  • $2,000,000 Series A Preferred Stock financing for social media company.

  • Corporate restructuring and private placement of Series A Convertible Preferred Stock and Warrants to a syndicate of venture capital investors and corporate restructuring on behalf of a telecommunications provider (transaction value $16,000,000).
  • Sales of Series C and D Convertible Preferred Stock and recapitalization of provider of micro-data transmission technology involving restructuring of 4 classes of current equity and infusion of new equity for a developer and provider of micro-data transmission technology for cellular telephone handsets to a syndicate of venture capital investors (aggregate value of transactions $77,500,000).
