Contractual issues

Our employment team advises senior executives on contractual matters that arise from their recruitment, departure, team moves or secondment abroad.

We understand cross-jurisdictional issues and have particular experience in advising senior executives on the contractual implications of transcontinental relocation.

We advise executives from many industries. Although we focus primarily on those with a finance background, we act regularly for those in the media, business services, brewing and manufacturing sectors. The team also frequently advises directors of private companies with equity interests that need to be protected.

We represent many senior board directors of UK FTSE 100, 250 and 350 companies, AIM and NASDAQ-listed companies and the subsidiaries of listed firms. We also work with the directors of privately owned companies. 

Recent work

  • Advising directors wishing to move from executive to non-executive roles, including from Chief Executive to Chairman.
  • Drafting employment documents to protect employees in the event of a change of control of the company.  
  • Representing the Chief Executive Officer and the Chief Operating Officer of a US-based, publicly-held specialty retail brand with annual revenues in excess of $400 million in a complex transaction involving the buy-out of their equity interests by a private equity firm and the rollover of their remaining interests into a newly-formed holding company.
  • Evaluating the enforceability of post-termination restrictions and negotiating exit packages.
  • Negotiating an executive compensation package valued in excess of $2 million in annual compensation for the Chief Executive Officer and President of a publicly-held, internationally-recognized jewelry brand with more than 1200 retail outlets throughout the US.
  • Negotiating a substantial cash payment, with tax efficient payout provisions, and a severance package on behalf of the Chief Financial Officer of an international tobacco brand.
