Our US team is experienced in the full range of financing transactions, including senior secured debt financings, senior cash flow financings, subordinated and mezzanine debt, preferred equity structure and private equity capital financing.

Our international capability means we can help foreign borrowers to navigate the unfamiliar territory of the US financing markets. Additionally, as an offshoot of our wealth structuring and tax practices, we can assist private clients, both borrowers and lenders, in achieving financing arrangements tailored to their needs.

We collaborate closely with our mergers and acquisitions, tax, real estate and ERISA (Employee Retirement Income Security Act) lawyers, to provide a fully integrated service for clients.

Recent work 

  • Closed a $10 million loan facility for a subprime lender to purchasers of used automobiles, which was seeking to buy out its previous loan facility and substantially expand its portfolio.
  • Represented a privately-held company in the acquisition and related financing of a commercial office building near Raleigh, North Carolina financed with two bank loans, as well as seller financing.
  • Closed a $10 million loan facility for a subprime lender to purchasers of used automobiles, which was seeking to buy out its previous loan facility and substantially expand its portfolio.
  • Closed the second tranche of an approximately $100 million bank loan to a major New York City hospital client.  The loan was collateralized by cash and several parcels of NYC real estate.
  • Advised a financial institution on the refinancing of a major Manhattan restaurant and the financing of new locations for the brand.
  • Worked with a UK-based boutique hotel, private club and spa regarding the construction and permanent financing for its first US location.
  • Counseled an investor group on the acquisition, construction and permanent financing of a state-of-the-art medical office building development.
  • Counseled a group of private client investors in connection with a loan facility to fund planning vehicle contributions to private equity fund.
  • Advised a US bank in connection with a construction and permanent loan to a local housing association for the development of multi-unit affordable housing, including coordination with city, state and federal economic development agencies, tax credits and related programs.
  • Represented a UK bank in connection with numerous facilities to high net worth expatriate borrowers acquiring residential real property in New York, Florida, Colorado and California.
  • Advised a Canadian bank on the refinancing of US real estate owned by multiple international entities.
  • Advised a US lender on loan to an Australian individual secured by works of art located in the UK.
  • Structured a preferred equity contribution and loan by US private investors into a unique start-up alcoholic beverage enterprise.
