Many restructuring efforts are driven by tax incentives, and we excel in maximizing the benefits of s110 liquidations, statutory mergers and foreign tax credits. We have drafted or reviewed the corporate agreements of many of the world’s top hedge fund managers, as well as pioneered the use of Family Limited Partnerships in the UK.
This experience has led many successful individuals to trust us with the structure of their family investments. A family recently brought in David Guin, from our US corporate team, to correct drafting issues made by a previous law firm on a LLC agreement that held their significant investment portfolio. He has also assisted several other family offices in forming affiliated registered investments advisors and fund structures to allow the flexibility to manage capital from outside the family and provide unique tailored governance structures to serve both the business and family needs.
In the US, much of our recent work has focused on the technology industry, where we have recently advised a Silicon Valley robotics company and a Minneapolis financial technology company on corporate restructurings that ensured future growth.
Complex, international projects are a specialty of ours, and we have experience on all sides of such transactions. When the family-owned Bakrie Group of Indonesia needed help restructuring some of its diverse interests in coal mining, oil and gas, steel pipe manufacturing and media properties, Withers lawyers in Singapore, Hong Kong and Melbourne advised on the sale of $270 million worth of coal assets. We even found a buyer, helping to create a joint venture between two other businesses and working with one of India’s leading banks to finance that joint venture’s purchase of the coal assets.
