Candy Crush Saga has become one of the major global success stories of the free-to-play mobile device games, with more than 93 million players worldwide. Withers was proud to act for the founders of the company that owned it, King.com, in the high-profile sale of their business to Activision Blizzard for US$5.9 billion, achieving a very satisfactory outcome for our clients.

Chief financial officer of software firm

We represented the chief financial officer of a software company in connection with an SEC investigation. The commission was alleging that there had been accounting improprieties on our client’s watch, but we were able to obtain a favorable resolution of all charges.

Cognizant Technologies US$2.7 billion acquisition of Trizetto

Advised Cognizant Technologies on Indian tax implications arising from several large M&A including the US$2.7 billion acquisition of Trizetto.

Vodafone US$11 billion dollar acquisition

Advised Vodafone in relation to a major Indian tax litigation on indirect transfers arising from its US$11 billion dollar acquisition from Hutchison.

MediaRing Ltd US$82 million loan for takeover

We acted for MediaRing Ltd. in Singapore, in respect of its US$82 million loan from a major bank. This loan was taken in connection with the proposed takeover of Pacific Internet Limited, a company listed on the NASDAQ Stock Market Inc., by MediaRing Ltd.

Multi-million dollar digital entertainment arbitration

Our cross border dispute resolution team acted for a Korean digital entertainment business in a multi-million dollar ICC arbitration on a construction and commercial disagreement involving two Korean businesses and a Chinese company

Astelit

We represented Astelit, a Ukrainian telecommunications company controlled by Turkish GSM operator Turkcell, on a $540 million financing (at such time the largest private financing in Ukraine) to expand its mobile network.

General Atlantic Partners

Advised General Atlantic Partners and Oak Hill on Indian tax issues arising from the acquisition of Genpact in a deal valued over US$1 billion.

Serco and Blackstone Group

Represented Serco and Blackstone Group in a major advance ruling and Indian tax litigation in relation to M&A valued over USD$500 million.

Semiconductor corporate restructure

Advised a semiconductor manufacturer on the restructuring of its corporate structure, which included a settlement with an earlier founder and the former president of a key subsidiary.

Establishment of an aerospace joint venture

We advised an Asian finance house on its affiliate's entry into a satellite services supply contract, and on the establishment of an aerospace joint venture.

Japanese electronics company in acquisition of intellectual property estate

Advised a leading Japanese electronics company in acquisition of the worldwide intellectual property estate of a distressed multinational company that had acted as a major component supplier in the past.

US micro-venture capital fund

We completed the formation and private offering of a US micro-venture capital fund focusing on the business-to-business digital marketplace and have advised on its investments in three portfolio companies: a platform providing athletes and parents with a suite of online tools to streamline the recruiting process; a platform providing restaurants with a trained food delivery staff and system as well as an app which communicates orders received by restaurants; and a platform that allows manufacturers and distributors in the IT sector to communicate with resellers of their products.

Roommate matching economy startup

Structured and documented a fund providing seed money for a sharing economy startup in the roommate matching space. Founders are accomplished, successful serial entrepreneurs in the “matching algorithm” field. The offering was a full private placement memorandum under Regulation D, Rule 506 (c), with blue sky registration in a number of states.

Advised on Chinese divestiture of e-commerce platform and investments

We advised a People's Republic of China (PRC) insurance group in its two-stage divestiture of a B2C e-commerce platform to a U.S. retail group, the investment in a PRC third-party payment business and proposed debt/equity investments in a Portuguese wind farm.

Mexican telecoms project

A telecommunications equipment manufacturer providing customer financing for the construction of telecom fiber networks in Mexico and other Latin American countries engaged us to advise.

Television content distribution rights and contracts

Our attorneys represented companies in the cable and satellite television industry in disputes concerning television content distribution rights and contracts.

US technology company

Advised in the acquisition by a US technology company of software and intellectual property assets from an embedded software company in Moscow and related technology service agreements with an affiliated entity in British Virgin Islands.

China Precision Technology acquisition of MAHK Co. Ltd

We acted for China Precision Technology’s proposed acquisition of MAHK Co. Ltd, a Japanese corporation that is currently undergoing civil rehabilitation proceedings in Tokyo, Japan. Ningbo Sunrise Electronics Co. Ltd (“NB Sunrise”), a wholly-owned subsidiary of China Precision Technology (“China Precision”), entered into a conditional Business Transfer Agreement with MAHK Co. Ltd, to acquire certain of its business and assets. The consideration for the proposed acquisition was ¥900 million (equivalent to approximately SG$13,680,000) and the completion of the acquisition was subject to approval by shareholders of the Company.
