Justin Gross


Justin is a partner in the real estate team, focusing on hotels.

He has more than 20 years professional experience in funds and M&A transactions in Europe and Asia Pacific.

He focuses on structuring and executing transactions in the property, hotels and tourism industries. His experience is deep and broad, covering simple asset and share deals through to highly complex multi-jurisdictional leveraged transactions.

Justin’s experience was gained through accounting, tax and law in private sectors both domestically and overseas with top tier global chartered accounting and law firms. He has years of experience as an employed in-house corporate counsel to The Trust Company Limited (now merged with Perpetual), an ASX listed financial intermediary.

With his strong combination of accounting, tax and legal experience and professional qualification, he is particularly skilled at finding practical commercial solutions to complex structuring and legal requirements.

He focuses on mergers and acquisitions, fund and trust structuring and investment, joint ventures and co-investment arrangements and reorganisations and restructures.

Justin regularly attends property and hospitality industry conferences in Asia and Australia including HICAP, AHICE and HostelWorld and has presented to clients and at a number of APREA conferences on inbound and outbound property fund investment. He has also been published in legal journals on a number of relevant fund and taxation topics.




Advising fund managers on all aspects of the life-cycle of a fund structuring, establishment, capital raising, investments/divestments and exit, for example advising Advising Pro-invest Hotels Group on its Cayman fund, developing hotels in Australia and New Zealand under InterContinental Hotel’s Group’s Holiday Inn Express brand.

Advising investors (including high net wealth/family office) on a wide range of complex M&A corporate and restructuring transactions, both in Australia and cross-border, for financial and non-financial investors, for example advising Indigenous Land Corporation on its purchase of Ayers Rock Resort (over 1000 rooms in five hotels) and related airport facilities, and advising V8 team owners in relation to the sale of a majority stake in V8 Supercars to private equity.

Advising investors on various Australian and international fund and other investments, including co-ownership and joint venture arrangements, for example advising a listed Australian real estate fund on its global joint venture with a foreign pension fund relating to an investment in Australian infrastructure assets and a major North-American foreign pension fund in relation to its acquisition of a majority position in a telecommunications infrastructure joint venture.
