David's practice focuses on income tax, gift and estate tax, generation-skipping transfer tax and asset protection planning for domestic and foreign individuals, families, trusts, estates and charitable organizations.

He advises on a broad range of family governance, family business succession and family office related matters concerning single-and multi-family offices, family offices in formation and virtual family offices.

David also provides tax and business planning for a broad range of private investment funds and their principals; tax and business planning involving the use of sophisticated financial derivatives products.

He also provides tax and business planning for domestic and foreign closely-held and publicly-traded corporations, partnerships and limited liability companies, including negotiation and implementation of mergers and acquisitions, restructurings, financings, re-financings, spin-offs, roll-ups, sale-leasebacks, like-kind exchanges, etc.

  • Represented U.S.-based owners/founders in connection with pre-IPO tax planning and compliance with post-IPO securities law obligations;
  • Established a family office for the owners of a closely-held financial services company that manages in excess of $15 billion; design and implementation of deferred compensation arrangements to attract and retain key employees of the company and the family office, and to more closely align their interests; reorganization of the company to facilitate the possible issuance of ownership interests to strategic co-investors;
  • Represented U.S.-based owners/founders in connection with the tax-efficient monetization of a concentrated equity position in a pre-IPO company;
  • Represented U.S.-based principals in connection with establishment of an offshore deferral structure to hold their general partnership interests in a $3 billion private equity fund focused on investments in Asia;
  • Represented Indian financial services company in connection with the establishment of a multi-jurisdictional structure to facilitate inbound investments into the Indian capital markets;
  • Represented Asian multi-family office in connection with establishment of its U.S.-based operations and formation of an offshore multi-strategy hedge fund platform;
  • Represented U.S.-based principals in connection with the formation of a $2 billion private equity fund focused on energy-related investments;
  • Represented Asian-based principals in connection with the formation of a private equity fund-of-funds focused on investments in the greater China region;
  • Represented Central American financial institution in connection with the development of planning techniques (including the use of financial derivatives products) to minimize tax and reporting requirements for nationals with passive investments in other jurisdictions;
  • Advised Asian multi-family office in connection with its establishment of U.S.-based operations and offshore multi-strategy hedge fund platform;
  • Represented U.S.-based principals in connection with the formation of a private equity fund focused on 19th century European art;

  • Represented Monaco-based investment management company in connection with the expansion of its operations into the United States, including the formation of domestic and offshore fund platforms;
  • Represent numerous major commercial and residential real estate developers in connection with the acquisition, development, exchange, leasing and sale of real estate properties, as well as the design and development of multi-generational ownership structures to facilitate the transfer of wealth between generations in a tax-efficient and creditor-protected manner.
