Rosa is a partner in the corporate team.
Rosa has a broad ranging practice in corporate, M&A and lending transactions. She is a trusted advisor to many US domestic, multinational and foreign clients on matters with a cross-border element, often spanning the US, Mexico, Spain and other Latin American countries. Her clients, which include privately held multinational corporations and Fortune 500 companies, engage with her assistance in joint ventures, mergers and acquisitions, direct private investments, private equity acquisitions and financings, restructurings, commercial lending, and general corporate matters.Rosa has extensive experience in advising US, Latin-American and European companies doing inbound and outbound investments in the US, Spain, Mexico and other Latin American countries. She also has advised and guided several US manufacturing companies in setting up, regulating and closing manufacturing operations in Mexico.
Rosa currently serves as the Chairman of the Northeast Chapter of the Regional Advisory Board of the US-Mexico Chamber of Commerce and the Co-Chair of the Mexico Chapter of the International Section of the New York State Bar Association. She also serves on the board of a number of non-profits serving the Hispanic communities in the US.
Me in a minute
I am an international transactional lawyer with a multicultural background and experience.
I was born and raised in Mexico City. My four grandparents were from Spain and immigrated to Mexico at the end of the Spanish civil war. I inherited the Spanish citizenship from them, along with the strength and resilience of war heroes. When describing my heritage, I like to say that my blood is Spanish, my heart is Mexican and my home is the US
I went to law school in Mexico City at Universidad Iberoamericana and started my career as a litigator in Mexico, but quickly realized that the adrenaline of closing a deal was much more attractive to me. After a few years of working in Mexico, I came to the US to study an LLM in International Legal Studies at Georgetown Law Center. Thereafter, I came to NYC to work for one of the top law firms in the country. I fell in love with the city and never left.
My career path has led me to a diverse practice, having to reinvent myself to gain experience on different transactional areas with domestic and cross-border components. From M&A, commercial lending, joint ventures, commercial contracts, manufacturing contracts and operations, private equity acquisitions, direct private investments, real estate investments, corporate structuring of operations, restructurings, and general corporate matters, to sometimes being involved in dispute resolutions and bankruptcy proceedings at the request of clients (but obviously not without the expertise of my colleagues in those areas)
What I enjoy the most about my practice is getting to know the clients, their companies, their needs, their industries, and partnering with them through important stages of their businesses' decisions of growth, restructurings and refinancings, and then help them navigate the challenges that come along the way to lead them to achieve their goals
I strongly believe that working on a team and in a collaborative environment is essential to provide exceptional service to clients. You will find in me a loyal, truthful and dedicated team player and advocate. I love learning and undertaking new challenges.
I am a strong advocate of supporting, growing and promoting the Hispanic businesses and communities in the US and the strength that Latinos currently have in the economy of this country. I also recognize the importance of empowering Latinos and, especially, Latin women in the legal profession and I always try to add my grain of sand.
While not at work, I love spending time with my wonderful (and at times chaotic) family of five and our close circle of friends who have become our family in NY. Before law school, I was a national figure skating champion in Mexico, but now I rarely get the chance to step on an ice rink (although I still miss it). I currently play tennis and try to fit it in my schedule as many HIIT cardio workouts as time permits. An avid soccer fan, mostly due to my amazing husband, and soccer mom, due to my sons who love to play. I really enjoy cooking, traveling around the world and knowing different places and cultures.

Represented Voxx International Corporation in its $20 million acquisition, through Newco, a Delaware LLC, of 54 percent of the assets of EyeLock, Inc., a Puerto Rico corporation, and EyeLock Corporation, a Delaware corporation, and a wholly-owned subsidiary of EyeLock, Inc.
$1.7 billion private equity-backed equity investment
Represented affiliates of American Energy Partners, LP in a private equity-backed equity investment of approximately $1.7 billion, including a subordinated debt investment of $450 million. The investment proceeds will be used to acquire and develop energy assets.
$165 million debt refinancing transaction
Represented Hill International Inc., a global leader in managing construction risk, in a $165 million debt refinancing transaction.
$20 million private equity investment
Assisted a major U.S. bank in a private equity investment of approximately $20 million in a Mexican company.
Acquisition of all of the issued and outstanding stock
Represented Brace Industrial Group L.P., a Houston based industrial services roll-up, in its acquisition of all of the issued and outstanding stock of Peterson Industrial Scaffolding, Inc. from Peterson Enterprises, Inc.
Acquisition of assets
Represented Antique and Vintage Woods, LLC in its acquisition of assets from Antique and Vintage Woods of America, LLC.
Acquisition of assets in the United States
Represented the largest Mexican paint manufacturing company in the acquisition of certain assets in the United States from one of the predominant paint manufacturing companies in Texas and the West Coast.
Acquisition of East Manufacturing
Represented Fultra, a Mexico-based provider of motor transportation equipment and parts in North America and parent company of Fruehauf, in its acquisition of East Manufacturing, an aluminium trailer maker.
