Si Ning is a senior associate in the funds and corporate team.

Si Ning works with investment managers and fund sponsors on the structuring and formation of both open-ended and closed-end private investment funds. She has experience working with clients across a wide range of asset classes, including private equity, venture capital, private credit, real estate and hedge funds, and other alternative investment products. Her practice also covers advising clients on fund manager licensing and regulatory requirements, marketing of funds, carried interest and incentive arrangements, co-investments, continuation funds and ongoing fund operation matters.

Si Ning also has experience advising investors in connection with their investments into investment funds, and has represented DFIs, fund-of-funds, family offices and other institutional and private capital investors on their primary fund investments and secondary transactions.

Her broader transactional practice includes advising clients on downstream investments, including private equity and venture capital investments, and on general corporate matters.

A Geneva-headquartered private bank

Advised the Singapore branch of a Geneva-headquartered private bank in the formation of an umbrella VCC to offer bespoke investment strategies to private clients.

DBS Bank

Advised DBS Bank, one of Asia's leading financial institutions, in the formation and launch of the DBS Foundry VCC, the first bank-backed multi-family office utilising Singapore's VCC structure globally which achieved a record AUM of S$1 billion as of 2025.

Everstone Capital

Advised Everstone Capital Asia, a Singapore-based private equity fund manager, in the formation of their flagship private equity funds, including Everstone Capital Partners IV which had a target fund size of US$950 million, and Everstone Capital Partners V which had a target fund size of US$800 million.

Formation of a data center fund

Advised a Singapore-based manager on the formation of a JPY42 billion data center fund focused on developing and operating turn-key data centers in Japan.

Green Growth Equity Fund

Advised Eversource Capital, a joint venture between Everstone Capital and Lightsource BP, on the formation of the US$750 million Green Growth Equity Fund, an India-focused climate impact fund. It was, at the time of formation, India's largest climate impact fund.

IndoSpace Capital

Advised IndoSpace Capital, one of India's largest manager of industrial and logistics real estate, on the formation of IndoSpace Logistics Parks IV, a real estate opportunistic fund with a target fund size of US$600 million.

Orion Capital Asia

Advised Orion Capital Asia, a Singapore-based private credit investment manager, on the formation of its US$700 million Orion Secured Direct Lending Fund III, a cross-border private credit fund backed by significant institutional investors from North America and Japan.

PAG

Advised PAG on various fund formation mandates, including the establishment of its renewable energy fund its opportunistic real estate funds.
