On August 29, 2018 SEC Chairman Jay Clayton addressed key capital formation initiatives at the SEC. Chairman Clayton emphasized helping small businesses access capital to grow, create new jobs, and provide investors expanded investment opportunities.
Chairman Clayton outlined the efforts the SEC has undertaken over the last sixteen months that are intended to foster capital formation including scaled disclosure framework for smaller companies, disclosure modernization and simplification, and guidance helpful to the IPO process. Additionally, Chairman Clayton looked to the future noting that in the coming months the SEC will be taking a fresh look at the thresholds that trigger Section404(b) of the Sarbanes-Oxley Act of 2002, which requires certain registrants to provide an auditor attestation report on internal control over financial reporting.
