Jesse is special counsel in the corporate team.
His practice focuses on corporate and securities matters and commercial transactions. Jesse has over thirty years of corporate legal experience serving as both in-house and outsourced general counsel to companies and individuals. He has advised start-ups, privately held companies and entrepreneurs principally in the areas of technology, e-commerce, digital publishing, new media and gaming. Jesse has legal experience at large and small law firms, as general counsel of a publicly traded software company and as the co-founder of a number of different companies.Jesse has represented buyers and sellers in mergers and acquisitions as well as companies and investors in various stages of financing. He has counselled founders, management, and boards of directors on best practices in areas such as business growth, investor, and employee relations, and advised companies and individuals on potential commercial disputes. He also has experience preparing equity incentive plans for employees. In the area of technology transactions, Jesse has experience advising on, drafting and negotiating various types of agreements such as license, manufacturing and SaaS agreements.
Jesse has invested over the years in several operating companies and has seen first-hand what matters most to business owners. His personal business experience with legal issues has provided him with a practical, non-legal perspective and pragmatic approach to risk-assessment to support founders and executive teams throughout the lifecycle of a company.
